1.Scope and definitions
- "Service" means the Sabaidee HR system (website, mobile app and API) provided by NEXVORA SOLE CO., LTD (the "Provider").
- "Customer" means the company or organisation that subscribes to the Service. "Users" are the people the Customer creates accounts for (e.g. administrators, HR, employees).
- These terms apply when the Customer signs a quotation/contract or starts using the Service. Where a signed written contract says otherwise, the contract prevails.
2.Accounts and security
- The Customer creates, authorises and disables User accounts and is responsible for activity carried out through its accounts.
- The Customer keeps passwords secure, should enable two-factor authentication (2FA) for administrator accounts, and informs the Provider promptly of any suspected unauthorised access.
3.Plans, trial and fees
- Features, the maximum number of employees and the subscription period follow the plan stated in the quotation or contract.
- A trial period (if any) lasts for the agreed number of days; afterwards the Customer chooses a plan to continue.
- Fees, payment terms and taxes follow the quotation and invoices. If payment is overdue, the Provider may temporarily suspend the Service after prior notice — data is not deleted during a suspension.
4.Acceptable use
- Use the Service only for lawful human-resources administration.
- Do not attempt to access other customers' data, run unauthorised security tests, reverse engineer the software, upload malware or put an unreasonable load on the system.
- Do not resell the Service or let third parties use it on your behalf without written permission.
5.Customer data and data protection
- Data entered by the Customer belongs to the Customer. The Customer is the data controller and is responsible for having a lawful basis and for informing its employees about the data collected (including GPS location at check-in).
- The Provider processes the data only on the Customer's instructions and to provide the Service, never sells it or uses it for advertising, and limits access to staff who need it and are bound by confidentiality.
- Sub-processors: Hostatom / Network Technical System Co., Ltd. (servers in Thailand) and Google Firebase Cloud Messaging (app notifications). The Customer will be told in advance of any change.
- If a security incident affects Customer data, the Provider informs the Customer without undue delay, with details and the measures taken.
- The Provider helps the Customer answer employees' requests (access, correction, erasure or export). More details: Privacy Policy.
6.Accuracy of calculations
- Salaries, tax, social security, overtime, lateness and leave are calculated from the settings and data entered by the Customer (e.g. tax bands, social-security rates, shifts).
- The Customer must review the results before approving and paying. The Provider works to keep the system in line with changes in the law, but payment decisions and filings with the authorities remain the Customer's responsibility.
7.Availability, maintenance and backups
- The Provider aims to keep the Service available at all times. A guaranteed service level (SLA) applies only when stated in the contract.
- Planned maintenance is announced in the system where possible and scheduled outside working hours when feasible.
- Data is backed up regularly and backup files are encrypted. The Customer can export reports and data to Excel/PDF at any time.
8.Intellectual property
The Sabaidee HR software, design and documentation belong to the Provider. The Customer receives a non-exclusive, non-transferable right to use the Service for the duration of the subscription. The Provider may use improvement suggestions from the Customer without obligation.
9.Suspension and termination
- The Customer may terminate as set out in the contract. The Provider may suspend or terminate the Service after prior notice if fees remain unpaid or these terms are seriously breached.
- After termination, the Customer may request its data (exported to files) within 30 days. The data is then deleted from the system; encrypted backup copies expire with the backup cycle.
10.Limitation of liability
- To the extent permitted by law, the Provider is not liable for indirect damages (such as lost profits or business opportunities).
- The Provider's total liability is limited to the fees paid by the Customer in the 12 months before the event.
- The Provider is not liable for events beyond its reasonable control (e.g. natural disasters, wide-scale power or internet outages).
11.Changes to these terms
The Provider may update these terms. Material changes are announced at least 30 days in advance in the system or by e-mail. Continuing to use the Service after the effective date means acceptance of the new terms.
12.Governing law and disputes
These terms are governed by the laws of the Lao PDR. Disputes are first resolved by negotiation; failing that, they are submitted to the Office of Economic Dispute Resolution or a competent court of the Lao PDR.
